Board Members
The EDBM Board of Directors comprises of nine members, four of which are from the private sector, and five from the public sector. The Board is supposed to meet at least twice a year and its functions include the examination and the approval of activities of EDBM; the organizational structure of the EDBM including the staff rules and regulations; the annual report of the CEO of EDBM outlining the activities of the organization, the consideration and approval of the annual budget; consideration and approval of the annual audit. Since its establishment, the board had three different chairpersons and has met five times. The decisions taken during the board meetings have allowed a number of activities to proceed. These include the approval of the organizational chart of EDBM and the recruitment of key personnel; the approval of the rules of procedures for the board itself; the elaboration of the budget and the business plan of the EDBM, the renovation of the ex-SOLIMA building at Antaninarenina; the establishment of the regional offices; the elaboration and finalization of the amendment to the DCA; the elaboration and finalization of the project agreement between the World Bank and the EDBM and the elaboration and finalization of the subsidiary agreement between PIC and EDBM.
The Board could not meet as often as it was supposed to because of number of factors outside its control. There have been a number of elections requiring the presence of the Ministers on the Board in the provinces for the electoral campaign and, as a result, it was difficult to have a quorum for the Board meetings. However, in spite of the few meetings of the Board, there have been individual consultations with the Board members on several occasions in order to get their views on important matters.
